In accordance with Article 21 of the "Procedures for Ethical Management and. Guidelines for Conduct":

The Company encourages internal and external personnel to report dishonest acts or misconduct, and will issue a bonus for the report depending on the severity of the case. If internal personnel make false reports or malicious accusations, they should be disciplined, and those who commit a serious offense should be dismissed. The Company establishes and announces an internal independent whistleblower mailbox or hotline on the Company's website and intranet site or commissions an external independent organization to provide a whistleblower mailbox or hotline for use by internal and external personnel of the Company.
The whistleblower should provide at least the following information:

  • 1.The name and ID number of the whistleblower, and contact address, telephone number and e-mail.
  • 2.The name of the person being reported or other information sufficient to identify the person being reported.
  • 3.Specific facts or evidence available for investigation.
The corresponding personnel of the Company who handle the report shall declare in writing that the identity of the whistleblower and the content of the report shall be kept confidential, and the Company undertakes to protect the whistleblower from improper treatments as a consequence of reporting. The Company's dedicated unit will handle the matter according to the following procedures:
  • 1. If the report involves a general employee, it shall be reported to the department head; if the report involves a director or a senior executive, it shall be reported to the independent directors or supervisors.
  • 2. The Company's dedicated unit and the aforementioned department head or person receiving the report should immediately ascertain the relevant facts and, if necessary, be assisted by the regulatory compliance or other relevant departments.
  • 3. If it is confirmed that the person being reported has violated relevant laws/regulations or the Company's policies and regulations on integrity management, the Company shall immediately request the person being reported to stop the relevant behavior and deal with it appropriately, and if necessary, request damages through legal procedures to protect the Company's reputation and rights.
  • 4. The report acceptance, investigation process and findings shall be kept in written documents and retained for 5 years in a digital form. If a lawsuit related to the content of the report occurs before the expiration of the retention period, the relevant information should be retained until the end of the lawsuit.
  • 5. If a report is verified to be true, the Company will instruct a dedicated unit to review the relevant internal control systems and operating procedures to propose improvement measures to prevent the recurrence of the same behavior.
  • 6. The Company's dedicated unit shall report to the Board of Directors on the report, its handling and subsequent review and improvement measures.
